AFRICAN ANGEL

§ 1 Name and seat of the association

The non-profit association is called "African Angel". He has to be notified for registration in the association, and after the registration it takes the word "Association".
The association has its headquarters in Düsseldorf.
The fiscal year is the calendar year.
The association is liable only to his association's assets.

§ 2 Purpose

The association pursues exclusively and directly non-profit and charitable purposes within the meaning of the section "tax purposes" of the tax code. The Association is active and does not pursue own commercial purposes. The Association's funds may only be used for statutory purposes. The members do not receive payments from the funds of the association. No person may benefit from expenditures to the goals of the association, or from disproportionately high remuneration. Purpose of the society to enable and promote the educational and vocational training of children in Bukom-Accra, Ghana by the donation from club funds to local schools and to appropriate training facilities on site. These purposes are all measures that are necessary for accommodation, subsistence and medical care of children of Bukom during the promotion and for maintaining the appropriate facilities.
The association's purpose may not be changed. He is untouchable.

§ 3 Membership, contributions

Members of the association may be natural and legal persons.
Membership in the Association is requested by signing the Declaration.
There are full members and associate members. Full members are those who make charitable contributions through their work and contribute to the achievement of this Constitution referred to in § 2 goals. Supporting members are not full members. They support the work of the association through a substantive review, without the rights and obligations of an ordinary member to have held. Supporting members have no choice or vote may attend the general meetings.
On the admission of members is decided by the Board.
Each member has to contribute in cash, the amount of the general assembly decides.

§ 4 Termination of Membership

The membership ends by resignation, death, removal from the list of members or exclusion.
The withdrawal must be declared in writing to the board by serving a period of four weeks (postmarked).
Removal from the list of members will be decided by the Board in payment-lasting.
The exclusion of a member may be made by the Board if a member of the tasks of the association or the decisions of the board or its institutions is grossly repugnant. The exclusion will be decided by the Board. Prior to the decision of the Board to the member the opportunity to comment orally or in writing is to give.
Upon termination of membership are not entitled to the shares of assets. Contributions paid are not refundable on resignation of a member.
The membership also ends with the deletion of the association.

§ 5 finance the association's purpose

The financing of the association's purpose through contributions, donations and other income.
The Association can supply all or part of its funds in a reserve to the extent necessary to meet its statutory purposes to fulfill tax-sustainable, and there are so far for the use of the reserve target and concrete notions of time. § 7 members

To participate in the meeting all members are entitled. Each ordinary member has one vote. Voting rights are transferable to other members.
Annual general meetings of the Association's headquarters are in place at least once a year. They are convened by the Board.
Extraordinary meetings are convened by the board, depending on demand, also within four weeks if requested by at least 25 members of this written notice.
The Board shall set the agenda for the meeting. The invitation to the Annual Meeting is to give written by simple mail (postmark) or by e-mail at least two weeks to announce before the meeting, stating the time, place and agenda of each member.
The meeting has a quorum of at least three members appeared. The Board shall determine the quorum at the beginning of the meeting.
The General Assembly shall decide by simple majority vote of members present, unless the law or the statute otherwise. If the votes, the motion is rejected. Abstentions are disregarded in the count. § 8 Board

The board is responsible for managing the Association, the implementation of the resolutions of the members and the management of the funds of the association. The Board is the legal representative of the association and represents it outside of court. The duties of the board include:

The decision on the admission of new members
The exclusion of members and the removal of members from the membership list for non-payment of three months contributions
The proof of income and expenditure account

The Board shall decide by simple majority. The Board has a quorum if at least three members are present or in writing agree. In a tied vote, the chairman counts twice.
The judicial and extrajudicial representation of the association is up - contrary to § 26 para 2 BGB - in all the affairs of the Chairman, in their absence, delegate representing the club currently. The case of prevention can not be demonstrated.

§ 9 Management

The Board may appoint for the execution of certain tasks in the departments of development, finance and membership support one or more managers. He / she make the management.

Activities and expenses of officers of the association are paid in a proportionate manner. The Bureau shall determine the amount of each payment.

§ 10 Advisory Board

The Advisory Board consists of at least three and not more than five elected and co-opted board members.
At least two members are elected on the proposal of the Executive Board of the General Assembly for a term of four years. The Committee may, in whole or in parts to be selected. Re-elected.
At least one other board member by the governing board and advisory board together for a period of four years. Renewed appeal is allowed.
Simultaneous membership of the Executive Board and Advisory Board is not allowed.
Advisory Board members can be both associative and non-members.
The Board decides on the appropriate remuneration and allowances for the management of the Chairman. The Board shall submit to the Board with supporting evidence and proposals. Other tasks of the Advisory Board may decide on the meeting. The Board may invite the Advisory Board or individual members of the Advisory Council on the advisory board meetings and assist them.

The meetings of the Advisory Board are in cooperation with the board meetings held at least twice a year. According to § 8 para. 3, the decision by telephone to the Advisory Council is also permitted.
The Board has a quorum if at least three members are present.
The meetings of the committee shall be chaired by the Chairman or one of his deputies. The Board shall decide by a majority of the votes present.

§ 11 Dissolution of the Association

The dissolution of the association can only be decided in a specially convened meeting for that purpose, in which at least 75 are present per cent of all full members.

§ 12 Statutes

§ 13 Entry into force

The statutes of the association occurs with the entry in the association in force.
